Wholesale Terms & Conditions

Effective Date: 1 April 2026

 

These Wholesale Terms & Conditions (“Terms”) govern all wholesale purchases from OmBiome (“Company,” “we,” “us,” or “our”). By applying for or placing a wholesale order, you (“Customer,” “you”) agree to the following:

 

1. Eligibility

Wholesale accounts are intended for businesses, practitioners, and organizations purchasing products for resale or professional use.

We reserve the right to approve or deny any wholesale application at our sole discretion.



2. Products & Minimum Orders

Wholesale products are sold in case quantities. Current minimum orders are:

  • OmBites – 1 case (9 units)
  • OMBi Tooth Powder – 1 case (12 units)

Additional minimums may apply to certain products or promotions

We reserve the right to update product offerings and minimum order quantities at any time.



3. Pricing & Payment

All wholesale pricing is confidential and provided exclusively to approved accounts. Payment is due at the time of purchase, unless otherwise agreed in writing. Prices are subject to change without prior notice. Orders are not confirmed until payment is received. 



4. Resale & Brand Integrity

To protect the integrity of OmBiome and its retail partners:

  • Products may not be resold on third-party marketplaces (including Amazon, Walmart, eBay) without prior written approval;

  • Customer agrees not to misrepresent OmBiome products or brand;

  • Customer agrees to maintain reasonable pricing consistent with brand positioning;

We reserve the right to revoke wholesale access if these terms are violated.



5. Sales Tax

Customers are responsible for all applicable sales taxes unless a valid resale certificate is provided. OmBiome may request resale documentation at any time.



6. Shipping & Fulfillment

Orders are processed within a reasonable timeframe (typically 3–7 business days). Shipping costs are calculated at checkout unless otherwise specified. Risk of loss transfers to the customer upon shipment, however we will work with you to resolve any shipping issues and ensure a positive experience.



7. Returns, Damages & Claims

We stand behind the quality of our products. Damaged or incorrect items must be reported within 7 days of delivery. Approved claims will be replaced or credited at our discretion.

We do not accept returns on unsold inventory. If you experience any issues with product quality or sell-through, please reach out – we’re here to support you.

For first-time wholesale partners, we're happy to offer a hands-on approach to ensure a successful launch, including access to optional marketing materials like flyers or shelf displays.



8. Account Responsibility

Customers are responsible for maintaining accurate account information. Wholesale accounts are non-transferable and may not be shared without permission.



9. Right to Refuse or Revoke Access

OmBiome reserves the right to:

  • Refuse any order

  • Suspend or terminate wholesale accounts

  • Modify or discontinue wholesale offerings

At any time and for any reason, including violation of these Terms.



10. Limitation of Liability

OmBiome shall not be liable for any indirect, incidental, or consequential damages arising from the use or resale of its products.



11. Updates to Terms

We may update these Terms from time to time. Continued use of your wholesale account constitutes acceptance of any changes.
